    • With an aggregate principal amount ≥ $100,000 → 6.07% per annum
    • With an aggregate principal amount ≥ $250,000 → 6.32% per annum
    • With an aggregate principal amount ≥ $500,000 → 6.57% per annum
    • With an aggregate principal amount ≥ $1,000,000 → 6.82% per annum
    • With an aggregate principal amount ≥ $100,000 together with a concurrent minimum $50,000 new investment in Ginkgo REIT Shares → 7.07% per annum
  • Payment Frequency: The Company will make a single payment of Principal of the Series No. 5 Medium-Term Notes, together with accrued and unpaid interest, on the Stated Maturity Date.

Investment Details

The Company intends to use the proceeds from the issuance and sale of each Series of Medium-Term Notes to finance the acquisition and enhancement of its Projects, including any development, construction, repair, renovation, or rehabilitation involved, as well as to meet any capital call obligations in Joint Ventures.

The Medium-Term Notes will be direct, unsecured obligations of the Company, without guarantees from the REIT, the Advisor, or any other party.

The Company plans to use cash on the balance sheet, asset level refinance, future Note issuances, and equity raises as the source of repayment.

The interest type is calculated as actual/365. Investors will receive 1099-INT tax documents.

Investment Details

ISSUER CALL REDEMPTION: 

The Company may redeem all or a portion of the Notes prior to the Stated Maturity Date at its sole discretion. Noteholders will receive the Call Redemption Amount, which includes (i) the outstanding principal as of the Call Redemption Date plus any accrued but unpaid interest, and (ii) a Call Redemption Premium equal to the interest the Noteholder would have earned for the remaining days left on the note through the Maturity Date. Noteholders will receive at least 10 business days' prior written notice of any call redemption.

SERIES REFINANCING: 

At maturity, the Company may elect to roll outstanding Notes into a new series at a potentially different interest rate. If so, Noteholders will receive advance written notice and will be automatically enrolled unless they opt out in writing by the 10th Business Day prior to maturity. Noteholders who opt out will receive their principal and accrued interest on the Maturity Date.
